3. Controlled Access Only
Investor materials are made available only on a controlled, case-by-case basis.
Crew Rotation reserves the right, in its sole discretion, to:
- approve or decline any request for access;
- limit the scope of materials shared;
- stage disclosure over time;
- require additional background information;
- request confidentiality protections;
- suspend or withdraw access at any time; and
- differentiate between categories of requestors based on relevance, seriousness, strategic fit, or business context.
5. Informational Use Only
All investor materials are provided for informational and evaluation purposes only.
They may contain summaries, preliminary views, forward-looking statements, internal assumptions, strategic concepts, pre-revenue positioning, incomplete data, or materials subject to revision. Such materials are not guaranteed to be complete, current, final, or suitable for reliance in making any investment or commercial decision.
Any decision to invest or engage with Crew Rotation should be based solely on formal transaction documents, independent diligence, and professional advice.
7. No Obligation to Proceed
Provision of access to investor materials does not create any obligation on the part of Crew Rotation to:
- continue discussions;
- provide additional information;
- enter into negotiations;
- maintain access;
- respond within any particular timeframe; or
- proceed toward any investment, transaction, or relationship.
Crew Rotation may discontinue any discussion or access process at any time and for any reason.
9. Accuracy, Completeness, and Forward-Looking Information
Crew Rotation makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability, or currentness of investor materials.
Investor materials may contain statements concerning future strategy, product development, commercial opportunities, pilots, market positioning, expansion plans, funding strategy, or anticipated results. Such statements are inherently uncertain and should not be treated as guarantees, promises, or definitive commitments.
11. No Waiver
No failure or delay by Crew Rotation in enforcing these Terms or restricting access shall constitute a waiver of any right, remedy, or protection.
13. Venue and Jurisdiction
To the fullest extent permitted by applicable law, any dispute arising out of or relating to these Investment Access Terms or access to investor materials shall be brought in the state or federal courts located in the State of Delaware, without prejudice to Crew Rotation Inc.’s right to seek protective, injunctive, or equitable relief in any other competent jurisdiction where necessary.

1. Purpose of These Terms
These Terms govern access to any investor-facing materials, whether provided through the website, by email, through a data room, by secure link, during meetings, or through any other communication channel.
They apply to all investor summaries, strategic materials, presentations, pitch materials, decks, financial discussions, operating materials, market materials, pilot materials, and related information made available by Crew Rotation unless a separate written agreement provides otherwise.
2. No Offer or Solicitation
Access to investor materials does not constitute:
- an offer to sell securities;
- a solicitation of an offer to buy securities;
- a public offering;
- a regulated offering document;
- a private placement memorandum;
- investment advice;
- financial advice; or
- a commitment by Crew Rotation to accept investment, negotiate, or proceed with any transaction.
Any investment-related engagement, if any, will occur only through separate written documentation formally approved and provided by Crew Rotation to selected counterparties.
4. Eligibility and Appropriate Counterparties
Access may be limited to persons or entities that Crew Rotation considers appropriate, including prospective investors, strategic counterparties, commercial partners, advisers, or other credible and relevant parties.
Crew Rotation may request information reasonably necessary to evaluate a request, including identity, firm affiliation, business purpose, investment interest, and professional background.
6. Confidentiality and Restricted Use
Unless Crew Rotation states otherwise in writing, investor materials provided on a controlled basis are confidential and may be used solely for evaluating a potential investment, strategic, or business relationship with Crew Rotation.
You may not, without prior written consent from Crew Rotation:
- copy, reproduce, republish, distribute, forward, or disclose investor materials;
- share them with third parties other than your professional advisers acting on a need-to-know basis and under appropriate confidentiality expectations;
- use them for any competitive, commercial, media, or public purpose;
- quote, summarize, or refer to them publicly;
- upload them to public or shared repositories; or
- rely on them as the basis for any public statement concerning Crew Rotation.
8. Intellectual Property and Ownership
All investor materials remain the exclusive property of Crew Rotation Inc. or are used under rights held or controlled by Crew Rotation.
No access, review, or receipt of investor materials grants any ownership interest, license, or right to use Crew Rotation’s intellectual property, business materials, concepts, trademarks, branding, confidential information, or strategic materials except for the limited evaluation right expressly described in these Terms.
10. Return, Deletion, or Withdrawal
Crew Rotation may request that any investor materials previously shared be deleted, returned, destroyed, or no longer used, and may withdraw access at any time.
Where materials were shared electronically, Crew Rotation may require that access links not be used further and that downloaded copies be deleted, to the extent reasonably practicable.
12. Governing Law
These Investment Access Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-laws principles, except to the extent superseded by mandatory applicable law.
14. Changes to These Terms
Crew Rotation may revise these Investment Access Terms at any time. Any updated version will be posted with a revised “Last Updated” date.
